Please read these Terms of Use (“Terms of Use”) carefully before creating an account or using the G10X Wishing Tree website (“Website”). By registering for an account or using the Website, you agree to be bound by these Terms of Use and the G10X Privacy Policy. If you do not agree, you must not access or use the Website.

G10X (“Company”, “we”, “us”, or “our”) operates the Wishing Tree Program (“Program”) as a voluntary charitable initiative. Under the Program, G10X collects wish lists from children at participating schools – recording items such as sporting equipment, stationery, toys, and other age-appropriate goods – and makes those wish lists available on this Website so that invited individuals may consider purchasing and donating the items directly to the children.

The Company acts solely as a facilitator. It curates and publishes wish lists, provides Amazon purchase links for the relevant items, and coordinates receipt and distribution of donated items to beneficiary schools. G10X does not sell any products, process any payments, or receive any monies in connection with the Program.

Eligibility and Account Registration

Access to the Website is by invitation only. Only persons who have received a direct invitation from G10X are eligible to register for an account. By registering, you represent and warrant that:

  • You are at least 18 years of age and have full legal capacity to enter into binding agreements under the laws of your jurisdiction;
  • You have been invited by G10X to participate in the Program;
  • All information you provide during registration is accurate, complete, and current; and
  • You will maintain the confidentiality of your account credentials and are solely responsible for all activity that occurs under your account.

You agree to notify G10X promptly at wishingtree@oneg10x.com if you become aware of any unauthorized access to or use of your account.

G10X reserves the right to suspend or terminate any account at its sole discretion, including in cases of suspected misuse, breach of these Terms, or for any other reason G10X deems appropriate, without prior notice or liability.

Nature of Program – No Payment Through G10X

The Website displays wish lists of items requested by beneficiary children. For each item, G10X may provide a curated Amazon purchase link (“Purchase Link”) directing you to the relevant product page on Amazon’s website or such other third-party e-commerce platform as G10X may designate from time to time (“Third-Party Platform”).

All purchases are completed entirely on the Third-Party Platform and are governed solely by that platform’s terms and conditions. G10X:

  • does not sell any products;
  • does not receive, collect, process, store, or have any access to any payment information, including credit or debit card details, bank account information, or transaction credentials;
  • does not process, hold, or transfer any funds or donations; and
  • is not a party to any transaction between you and the Third-Party Platform or seller

Items purchased through the Third-Party Platform may be delivered to G10X’s designated office address for onward distribution to the relevant beneficiary school and child. In receiving and distributing donated items, G10X acts solely as a logistical coordination point and does not acquire ownership of or any commercial interest in such items.

Participation in the Program does not constitute a monetary donation to G10X and does not create a charitable donor-recipient relationship between you and G10X. G10X does not issue tax receipts, donation certificates, or any documentation for tax deduction or financial benefit purposes in respect of items purchased through the Program.

Sharing of Purchase Link

Once you receive a Purchase Link through the Website, you acknowledge that G10X has no visibility into or control over who ultimately completes a purchase using that link. You may choose to share a Purchase Link with a third party (“Third-Party Purchaser”), who may independently complete the purchase on the Third-Party Platform without creating an account on this Website.

Where a Purchase Link is shared with and used by a Third-Party Purchaser:

  • the Third-Party Purchaser’s purchase is made directly on the Third-Party Platform and is solely subject to that platform’s terms and conditions and privacy policy;
  • G10X will have no visibility into the identity of the Third-Party Purchaser and will not collect or process any personal information relating to such person through the Website;
  • you are responsible for ensuring that any Third-Party Purchaser with whom you share a Purchase Link is aware that they are purchasing items for charitable donation to beneficiary children under the Program and that the transaction is completed on the Third-Party Platform and not with or through G10X; and
  • G10X shall not be responsible or liable for any act, omission, or conduct of any Third-Party Purchaser or for any consequence arising from the sharing or use of Purchase Links.

Acceptable Use

You agree to use the Website solely for its intended purpose of participating in the Program and in accordance with these Terms of Use. You must not:

  • use the Website for any unlawful, fraudulent, misleading, or unauthorized purpose;
  • attempt to gain unauthorized access to the Website, its underlying systems, or any data or account not belonging to you;
  • introduce viruses, malware, or any other harmful or disruptive code or content;
  • use automated scripts, bots, crawlers, or similar tools to access or extract data from the Website;
  • use the Website to collect, harvest, or store personal information relating to other users or beneficiaries
  • interfere with or disrupt the operation of the Website or the servers or networks connected to it; or
  • use the Website in any manner that could damage the reputation of G10X or the Program.

G10X reserves the right to investigate any suspected violation of these Terms of Use and to take appropriate action, including suspending or terminating access to the Website, without prior notice.

No Improper Advantage – Anti-Bribery Compliance

Participation in the Program is entirely voluntary and must not, under any circumstances, be linked – directly or indirectly – to any expectation of commercial advantage, preferential treatment, contractual benefit, business opportunity, or favorable decision involving G10X.

You must not use participation in the Program, including any purchase of items thereunder, as a means of offering, providing, or soliciting any improper benefit in connection with G10X or any other person or organization. G10X strictly prohibits the use of the Program in any manner that would violate applicable anti-bribery, anti-corruption, or anti-money laundering laws, including but not limited to the UK Bribery Act 2010, the US Foreign Corrupt Practices Act, and equivalent laws in other jurisdictions.

G10X may, at its sole discretion, decline to accept, distribute, or acknowledge items that are of excessive value or otherwise inconsistent with the charitable objectives of the Program. As a general guideline, participants are encouraged to limit the value of any single purchase to approximately USD 60/GBP 50/EUR 55/AED 220 (or the local currency equivalent) per child, unless otherwise directed by G10X.

Marketing Communications

By creating an account on this Website, you acknowledge that G10X may, from time to time, contact you using the contact details you have provided to inform you about G10X’s products, services, events, and other commercial or promotional initiatives (“Marketing Communications”).

Where required by applicable law (including the General Data Protection Regulation (“GDPR”) in the European Economic Area, the UK GDPR, applicable laws in the United Arab Emirates, and the CAN-SPAM Act and equivalent US state laws), G10X will obtain your prior consent before sending Marketing Communications.

You may withdraw your consent to receive Marketing Communications, or opt out of such communications, at any time by:

  • clicking the “unsubscribe” link included in any Marketing Communication; or
  • contacting G10X at wishingtree@oneg10x.com with the subject line “Marketing Opt-Out”.

Opting out of Marketing Communications will not affect the operation of your account or your ability to participate in the Program. G10X will continue to send you transactional and administrative communications relating to your account and the Program regardless of your marketing preferences.

Intellectual Property

All content on the Website, including text, graphics, logos, icons, data compilations, wish list content, and software, is the property of G10X or its licensors and is protected by applicable intellectual property laws. You are granted limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for the purpose of participating in the Program.

You must not reproduce, distribute, modify, adapt, create derivative works of, publicly display, or otherwise exploit any content from the Website without G10X’s prior written consent.

Third-party Platforms – Disclaimer

The Website contains Purchase Links that redirect you to Third-Party Platforms (including Amazon). G10X does not operate, control, or endorse any Third-Party Platform and is not responsible for:

  • the availability, accuracy, or content of any Third-Party Platform;
  • the quality, safety, suitability, or fitness for purpose of any product listed or purchased through a Third-Party Platform;
  • payment processing, refunds, cancellations, returns, or disputes relating to any purchase;
  • the shipping, delivery, condition, timeliness, or receipt of any item; or
  • the privacy, security, or data processing practices of any Third-Party Platform.

All concerns, claims, and disputes relating to purchases must be directed solely to the relevant Third-Party Platform or seller. G10X does not receive any commission, referral fee, or other financial benefit from any Third-Party Platform in connection with the Program.

Product availability, pricing, and descriptions on Third-Party Platforms may change at any time without notice. G10X does not guarantee the availability of any item listed in a wish list.

Protection of Beneficiary Information

Beneficiary children’s wish list information is published on the Website in a generalized form. G10X does not disclose the personal identity, photograph, name, or contact details of any individual child to Program participants. Participants will not receive any personally identifiable information relating to individual beneficiaries.

Distribution of donated items to individual children is managed solely by G10X in coordination with participating schools. Any information shared with G10X by participating schools about beneficiary children is handled in strict confidence and solely for Program administration purposes.

Disclaimer of Warranties

THE WEBSITE AND THE PROGRAMME ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, G10X EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

G10X does not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by applicable law, G10X and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with:

  • your access to or use of (or inability to access or use) the Website;
  • any purchase made through a Third-Party Platform;
  • the sharing or use of any Purchase Link by you or any Third-Party Purchaser;
  • the quality, safety, delivery, or condition of any item purchased through the Program;
  • any act or omission of any Third-Party Platform or Third-Party Purchaser;
  • any unauthorized access to or alteration of your account or data; or
  • the suspension, modification, or discontinuation of the Website or the Program.

In no event shall G10X’s total aggregate liability arising out of or in connection with these Terms of Use exceed the sum of USD 100 (or the equivalent in local currency), regardless of the cause of action and whether in contract, tort, or otherwise.

Nothing in these Terms of Use shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, or gross negligence.

Indemnification

You agree to indemnify, defend, and hold harmless G10X and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: ( a ) your use of the Website or participation in the Program; ( b ) your breach of these Terms of Use; ( c ) any Purchase Link you share with a Third-Party Purchaser; or ( d ) any third-party claim arising from your conduct in connection with the Program.

Governing Law and Jurisdiction

These Terms of Use are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Dispute Resolution – Mandatory Arbitration. Any dispute, controversy, or claim arising out of or in connection with these Terms of Use, or the breach, termination, or validity thereof (“Dispute”), shall be finally resolved by binding arbitration rather than through court litigation. The parties expressly waive any right to resolve Disputes before any court or tribunal, except as provided below.

Arbitration Rules and Seat. Arbitration shall be conducted under the Arbitration and Conciliation Act, 1996 (India), as amended from time to time. The seat and venue of arbitration shall be Kochi, Kerala, India. The arbitration shall be administered by a sole arbitrator mutually appointed by the parties. If the parties are unable to agree on an arbitrator within thirty (30) days of a written request for arbitration, the arbitrator shall be appointed in accordance with the rules of the Indian Council of Arbitration (ICA) or such other recognized arbitral institution as G10X may designate.

Language. The language of arbitration shall be English.

Pre-Arbitration Notice and Cool-Off Period. Before initiating arbitration, the party seeking to raise a Dispute must provide written notice to the other party describing the nature of the Dispute and the relief sought. The parties shall attempt to resolve the Dispute through good-faith negotiations for a period of thirty (30) days from receipt of such notice (“Cool-Off Period”). If the Dispute is not resolved within the Cool-Off Period, either party may proceed to arbitration.

Confidentiality. All arbitration proceedings, submissions, and awards shall be kept strictly confidential by both parties, except to the extent necessary to enforce an award or as required by applicable law.

Interim Relief. Nothing in this clause shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights pending the constitution of an arbitral tribunal or the conclusion of arbitration proceedings. For this limited purpose, the courts at Kochi, Kerala, India shall have non-exclusive jurisdiction.

No Class Arbitration. All Disputes shall be arbitrated on an individual basis. You expressly waive any right to bring or participate in any class, collective, consolidated, or representative arbitration or proceeding. The arbitrator shall have no authority to consolidate claims or to arbitrate any Dispute on a class or representative basis.

EEA and UK Participants. For participants located in the European Economic Area or the United Kingdom, nothing in this clause shall affect any rights you may have under mandatory consumer protection laws applicable in your jurisdiction, including any right to bring proceedings before a court in your country of habitual residence. To the extent mandatory applicable law precludes arbitration of any particular Dispute, such Dispute may be brought before the courts of your jurisdiction, and the remainder of this arbitration clause shall continue to apply to all other Disputes.

Enforceability. If any part of this arbitration clause is found to be invalid or unenforceable, that part shall be severed and the remaining provisions of this clause shall continue to apply in full force and effect.

Amendments

G10X reserves the right to amend, update, or modify these Terms of Use at any time at its sole discretion. Any changes will be effective upon posting on the Website or, where required by applicable law, upon notification to registered account holders. Your continued use of the Website following the posting of revised Terms of Use constitutes your acceptance of the revised Terms. You are encouraged to review these Terms of Use periodically.

Miscellaneous

Severability: If any provision of these Terms of Use is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

Waiver: No failure or delay by G10X in exercising any right under these Terms of Use shall constitute a waiver of that right.

Entire Agreement: These Terms of Use, together with the G10X Privacy Policy, constitute the entire agreement between you and G10X in relation to your use of the Website and the Program and supersede all prior agreements or understandings relating to the same subject matter.

No Partnership: Nothing in these Terms of Use creates any partnership, joint venture, agency, employment, or franchise relationship between you and G10X.
